Priscilla M. Lu, PhD, Chairman, Director
Dr. Priscilla M. Lu is General Partner and Founder of Cathaya Capital, a private equity venture fund for China focused at technology based mature businesses leveraging cross border alliances with an emphasis in Clean Tech and Health Care. She is Chairman of ZAP, an Electric Vehicle Company where Cathaya Capital is the largest shareholder, and Vice Chairman of Asia Pacific Medical Group, one of the largest private hospital chains in China. She is also a co-founder of Better World International Ltd. focused on building out infrastructure for electric vehicles.
She was China advisor to Mayfield for more than 5 years and helped found GSR Fund (overseeing US$1B investments) in China. Formerly she was CEO of ViDeOnline, a digital media company delivering secured broadband and mobile networks to service providers in China. She was Founder, Chairman and CEO of interWAVE Communications for ten years and took the company public on the NASDAQ. interWAVE built the largest number of mobile GSM and CDMA networks in Africa at the time, with over 165 networks worldwide.
Before this, Dr. Lu was a Bell Lab Scientist at AT&T Bell Laboratories for 16 years, where she led efforts in digital switching and networking, and developed the early technologies in CMOS VLSI in microprocessors. She has a B.S. and M.S. in Computer Science and Mathematics, University of Wisconsin, Madison and holds a Ph.D. in Electrical Engineering and Computer Science, Northwestern University, funded as a Bell Labs Scholar. Dr. Lu has over 50 patents in telecommunications and networking. She is on several Boards, including Northwestern University’s Engineering School’s McCormick Advisory Board.
Steven Schneider, Co-CEO, Director
Mr. Schneider entered the automotive industry intent upon contributing through fuel efficient vehicles. He is recognized and respected internationally for his contributions and personal dedication to the research, engineering, integration and development of electric drive systems for the newly emerging electric vehicle and alternative fuel transportation industry. Recently, he was named the newest member to the Bay Area Council, business leaders committed to promoting the health and well-being of the Bay Area with a focus on building the economic region’s relationship with China. Schneider joined ZAP as Chief Executive Officer and Director in 2002 helping raise nearly $1 billion from several of his successful businesses which today represent the core of ZAP's business operations. Schneider’s education and early career in the automotive industry include positions with specialty and fuel efficient automobiles offered by Honda, VW, Renault, and DeLorean. He has unique expertise in automotive marketing, sales, distribution, logistics, distribution, finance, engineering integration, homologation and operations. Schneider holds several patents with several more pending. He has represented the automotive industry on TV and radio programs and at media events and lectures frequently in trade and business association and university venues on management and advanced automotive technologies. He has served on the board of directors for a number of energy and manufacturing companies and recently forged close relationships with business opportunities in Asia. Currently, he is Vice Chairman of Samyang Optics. Co., LTD of South Korea. Schneider was appointed a Senior Advisor for Economic Development to Hangzhou, one of China's "Innovation Zones." Wang "Alex" Gang, Co-CEO
Wang "Alex" Gang, CEO of Zhejiang Jonway Automobile Co. Ltd., graduated from the University of Sunderland in the United Kingdom with an undergraduate degree in business administration. A member of the Zhejiang Council and member of the After 70's Elite Club in Taizhou, Mr. Wang has many years of manufacturing management experience as well as a broad overview of international market development and management. Through his manufacturing innovations and international training, Mr. Wang has been able to enhance Jonway Auto's level of modernization and internationalization.
Mark Abdou, Director
Mark Abdou was the Company’s previous outside SEC counsel for over five years. He is currently the CEO and Managing Partner of Libertas Law Group in Long Beach, California. Mr. Abdou received his Juris Doctorate from the UC Berkeley School of Law in 1999 and is a member of the California State Bar Association. He has served as co-chair of the financing committee for the Voices of Uganda project Voices in Harmony and is also a founding director of Project PLAY! In addition, Mr. Abdou is a founder and current Chairman of the Advisory Board of California Executives. Most recently, he was selected as a Rising Star of 2008 and Rising Star of 2009 in Southern California by the industry publication Super Lawyers®.
From August 2008 to March 2009, Mr. Abdou served as General Counsel and Sr. Vice President of GTX Corp, a technology company committed to developing miniaturized GPS tracking and cellular location-transmitting technology platforms for integration into a wide variety of consumer products. From December 2003 to August 2008, Mr. Abdou was a partner at Richardson & Patel, LLP, with expertise in negotiating with large debt and equity lenders. While serving these various positions, he has assisted corporations with IPOs, and has been involved with mergers and acquisitions, registered offerings, S.E.C. compliance and corporate governance. Mr. Abdou also served as counsel for various companies based in the Middle East.
Georges Penalver, Director
Mr. Penalver, 53, is a General Partner of Cathaya Capital, L.P. Formerly, he joined Orange / France Telecom Group, a publicly traded French telecommunications company, in September 2005, serving as Group Senior Executive Vice President for Strategic Marketing, where he was in charge of the creation and the development of all products and services for the entire Orange / France Telecom Group. From 2009 to April 2011, he was in charge of Group Strategy and Development and Strategic Initiatives and Partnerships for the Group. Before joining Orange / France Telecom Group, Mr. Penalver was Deputy CEO of SAGEM Communications (SAFRAN
group), a communication electronics company. From 2002 to 2005, he developed SAGEM’s Broadband Communications Business, overseeing the launch of new fixed and mobile product offers, industrial deployment in Tunisia, Asia and Eastern Europe, and the development of sales networks in Europe, China, Southeast Asia, Australia, the Middle East, Africa and the Americas. Mr. Penalver is a graduate of the Ecole nationale supérieure d’ arts et métiers (gold medal, 1974) and the Ecole nationale supérieure des télécommunications in Paris (1980). He is also a Knight of the French Ordre National du Mérite. The Board of Directors has concluded that Mr. Penalver should serve as a director of ZAP because of his management and international business experience at France Telecom SA and SAGEM and his experience as a general partner of Cathaya Capital L.P., which, with its affiliates, is the Company’s largest investor.
Goman Chong, Director
Mr. Chong, 36, serves as one of the founding general partners of Cathaya Capital, L.P. He has also been the President of Daifu Waste Management Holdings Limited since September 2007, a medical waste management company invested in by Goldman Sachs. Mr. Chong served as the Chief Executive Officer of Daifu Group, a medical information portal, from June 2007 to January 2009. From April 2004 to January 2006, he served as a Business Development Manager in Beijing for News Corporation, a global media company. Mr. Chong
received his MBA degree from the Tsinghua–M.I.T. Sloan joint program at Tsinghua School of Economics and Management in 2004, and his Bachelor of Arts degree in Economics, Statistics and Actuarial Science from the University of Toronto in 1997. The Board of Directors has concluded that Mr. Chong should serve as a director of the Company because of his background in economics, his experience, knowledge, and expertise in international business, and his experience as founder and general partner of Cathaya Capital L.P., which, with its affiliates, is the Company’s largest investor.
Patrick Sevian, Director
Mr. Sevian, , has served in various management roles, including Chief Executive Officer, of SAGEM Communications (SAFRAN group), a communication electronics company, since 2004. The Board of Directors has concluded that Mr. Sevian should serve as a director of the Company because of his experience in international business that strengthens the Board of Directors’ collective qualifications, skills, and experience.
